Terms of Sale
1. Scope
These terms of sale (the "Terms of Sale") govern paid subscriptions to the OctoFirst service (the "Service") provided by Jean-François Lépine (the "Publisher"). The Service is intended exclusively for professional customers (companies, organisations) acting in the course of their business. Any subscription implies full acceptance of these Terms of Sale, which supplement the Terms of Use.
2. Offer and pricing
The Service is offered as a subscription, billed by usage based on the number of active seats. A seat corresponds to an active contributor, i.e. a person who has had activity (pull/merge request, review, commit) on the connected repositories within the last 30 days.

Prices are stated excluding tax. VAT not applicable, article 293 B of the French General Tax Code (sole trader VAT exemption). No VAT is therefore charged.
3. Free trial
The Service includes a 14-day free trial, no credit card required. No amount is charged during this period. After the trial, access to paid features requires a subscription; otherwise, the Account may be switched to restricted access without billing.
4. Order and subscription
Subscription is completed online from the Account's billing area. The customer selects a plan (monthly or annual) and provides a payment method. The order is confirmed once payment is validated.
5. Payment
Payment is processed by Stripe, a payment service provider acting as a sub-processor. The Publisher never has access to full card data, which is collected and stored directly by Stripe in accordance with industry security standards (PCI-DSS). Details of the processing of payment data are set out in the Privacy Policy.
6. Billing and renewal
Billing is usage-based: the number of seats is recalculated according to active contributors over the last 30 days. The monthly subscription renews automatically each month, the annual subscription each year, until cancelled. Invoices are made available in the billing area.
7. Right of withdrawal
As the Service is intended for professional customers acting in the course of their business, the consumer right of withdrawal provided by the French Consumer Code does not apply. Furthermore, as the digital Service is supplied immediately upon subscription, performance begins as soon as the order is confirmed. The 14-day free trial allows the Service to be evaluated without commitment.
8. Cancellation
The customer may cancel their subscription at any time from the billing area. Cancellation takes effect at the end of the current period (the month or year already paid), with no further renewal. No notice period is required.
9. Refunds
Amounts relating to a period already started are not refunded on a pro-rata basis, unless a mandatory legal provision requires otherwise or the Publisher expressly agrees. In the event of a failure attributable to the Publisher that durably prevents access to the Service, a credit or refund may be granted on a case-by-case basis.
10. Service availability
The Publisher uses reasonable means to ensure continuity of the Service, without any guarantee of uninterrupted availability. The Service relies on third-party platforms (GitHub, GitLab, Stripe, OpenAI, hosting provider) whose unavailability cannot engage the Publisher's liability.
11. Liability
To the extent permitted by law, the Publisher's liability under the subscription is limited to the amount actually paid by the customer over the last twelve (12) months. The Publisher is not liable for indirect damages (loss of revenue, data or business). Indicators and recommendations are provided for information purposes, in accordance with the Terms of Use.
12. Personal data
The processing of personal data is described in the Privacy Policy.
13. Governing law and disputes
These Terms of Sale are governed by French law. In the event of a dispute, the parties will seek an amicable solution. Failing an amicable resolution, the French courts have sole jurisdiction.
